These terms and conditions of use (“Site Terms”) apply solely to your access to and use of, the Web site of Medical Departures Inc. ("Medical Departures”), located at www.dentaldepartures.com, www.dentaldepartures.ca, www.dentaldepartures.co.uk, www.dentaldepartures.de, www.dentaldepartures.net www.medicaldepartures.com, www.medicaldepartures.co.uk, www.medicaldepartures.ca, www.medicaldepartures.de,www.medicaldepartures.net (the "Site") and the appointment and other services provided through the Site (the "Services"). These Site Terms do not alter in any way the terms or conditions of any other agreement you may have with Medical Departures, or its subsidiaries or affiliates, for products, services or otherwise. If you are using the Site on behalf of any entity, you represent and warrant that you are authorized to accept these Site Terms on such entity's behalf, and that such entity agrees to indemnify you and Medical Departures for violations of these Terms.

Medical Departures reserves the right to change or modify any of the terms and conditions contained in the Site Terms or any policy or guideline of the Site, at any time and in its sole discretion. Any changes or modifications will be effective immediately upon posting of the revisions on the Site, and you waive any right you may have to receive specific notice of such changes or modifications. Your continued use of this Site following the posting of changes or modifications will confirm your acceptance of such changes or modifications. Therefore, you should frequently review the Site Terms and applicable policies from time to time to understand the terms and conditions that apply to your use of the Site. If you do not agree to the amended terms, you must stop using the Site.

Please refer to our Privacy Policy for information on how Medical Departures collects, uses and discloses personally identifiable information from its users.

Services

Medical Departures provides an online Medical appointment system that allows users to locate and make appointments with Medical service providers through the Site (each a "Medical Provider"). If you make an appointment through the Site, you acknowledge and agree that you are entering into a direct relationship with the Medical Provider, and that Medical Departures does not provide, and has no responsibility or liability of any kind for, the services provided by the Medical Provider (the "Medical Services") or the actions or inaction of such Medical Provider. Although we endeavor to locate reputable and qualified Medical Providers, you further acknowledge and agree that Medical Departures does not recommend, endorse or make any representations or warranties regarding the Medical Providers or Medical Services and has no responsibility, liability or obligation of any kind for the accuracy, completeness or other aspects of the information provided by such Medical Providers, whether on the Site or otherwise, or for the relationship between you and the Medical Provider you select. All payments for Medical Services will be charged directly by the Medical Provider, either using the credit card number you provide when you make your reservation or such other payment method that you agree upon with the Medical Provider. If you do not show up for an appointment and do not cancel within the time period stated on the Site, then your credit card may be charged a no-show fee by the Medical Provider. In no event are any payments made to Medical Departures for any Medical Services, and you agree to look solely to the Medical Provider to respond to and resolve any service, billing or other issues that may arise in connection with such Medical Provider.

You further acknowledge that the nature of the Medical Services that you may require can only be determined by the Medical Provider after an in-person examination, and any list of services or requests for services made through the Site, and any quotes for the fees charged for such Medical Services, are merely quotations and estimates and may not reflect the actual services provided or amounts charged. You should always request an estimate directly from the Medical Provider prior to having the Medical Provider commencing any work. It is solely up to you to determine whether any Medical insurance plan you have will apply to the Medical Services and what requirements there may be to utilize such insurance in connection with the Medical Services.

Communications and Messaging

By submitting a request to Medical|Dental Departures, including but not limited to: a quote, contacting the clinic, submitting a booking request, calling our phone numbers or conducting an online chat, you provide express written consent for Medical|Dental Departures to call and/or text you (standard messaging and data rates may apply). If you wish to opt-out of any further text messages, send text STOP.

Best Price Guarantee

If after you have made an appointment with a Medical Provider for a particular Medical procedure through the Site, you find the same Medical procedure, with the same Medical Provider, for the same dates at a lower rate on the Internet, we will, at our option, make sure that the Medical Provider matches the lower rate or refund you the difference, provided that you submit a Best Price Guarantee Request Form (the "Request Form") within 24 hours of making the appointment and meet the other requirements, terms and conditions set forth below. The Medical Departures ' Best Price Guarantee is subject to the following terms, limitations and conditions:

  1. To apply for the Best Price Guarantee you must complete the Request Form within twenty-four (24) hours of making your appointment with medicaldepartures.com
  2. The Best Price Guarantee only applies in respect of a lower rate that is available for online booking. The lower online rate must be bookable when Medical Departures validates your claim, within the 24-hour period, screenshots will not be accepted as proof.
  3. The lower rate must be found online for the same Medical procedure, with the same Medical Provider, on the same dates as reserved through Medical Departures with the same Medical options and other features and benefits (i.e. free shuttle, free oral exam).
  4. The lower rate must be in the same currency.
  5. The lower rate must be the cost of the Medical procedure less taxes & fees.
  6. Medical Departures shall make the final determination regarding your refund eligibility and the availability of a lower rate.
  7. The Best Price Guarantee will apply only if your appointment made through MedicalDepartures.com is completed and not canceled or the subject of a no-show.
  8. The Best Price Guarantee applies only to online rates available to the general public. It does not apply to membership, corporate rates, special discounted rates including, but not limited to military, government, or convention rates, frequent stay, loyalty, points, won through contests/sweepstakes or through special promotions. Lower rates available through opaque sites where the exact dentist isn't known until after booking are also excluded from the Best Price Guarantee.
  9. The Best Price Guarantee will not apply with respect to rates loaded in error by Medical Departures or the Medical Provider.
  10. Medical Departures reserves the right to deny any claims that cannot be verified, or for which you have provided incomplete information.
  11. Medical Departures reserves the right to modify or discontinue the Best Price Guarantee at any time without prior notice. Any modification will be effective upon posting of modified Best Price Guarantee Terms and Conditions on the Medical Departures Web sites or in these Site Terms.
  12. If the Best Price Guarantee claim is unsuccessful because it does not qualify with our requirements, Medical Departures terms and conditions and the Medical provider's cancellation policy are still applicable.

Copyright and Limited License

Unless otherwise indicated in the Site, the Site and all content and other materials on the Site, including, without limitation, the Medical Departures logo, and all designs, text, graphics, pictures, information, data, software, sound files, other files and the selection and arrangement thereof (collectively, the "Site Materials") are the proprietary property of Medical Departures or its licensors or affiliates or users and are protected by U.S. and international copyright laws.

You are granted a limited, non-sublicensable license to access and use the Site and print to hard copy portions of the Site Materials for your informational, non-commercial and personal use only. Such license is subject to these Site Terms and does not include: (a) any resale or commercial use of the Site or the Site Materials therein; (b) the collection and use of any provider listings, pictures or descriptions; (c) the distribution, public performance or public display of any Site Materials; (d) modifying or otherwise making any derivative uses of the Site and the Site Materials, or any portion thereof; (e) use of any data mining, robots or similar data gathering or extraction methods; (f) downloading (other than the page caching) of any portion of the Site, the Site Materials or any information contained therein, except as expressly permitted on the Site; or (g) any use of the Site or the Site Materials other than for its intended purpose. Any use of the Site or the Site Materials other than as specifically authorized herein, without the prior written permission of Medical Departures, is strictly prohibited and will terminate the license granted herein. Such unauthorized use may also violate applicable laws including without limitation copyright and trademark laws and applicable communications regulations and statutes Unless explicitly stated herein, nothing in these Site Terms shall be construed as conferring any license to intellectual property rights, whether by estoppel, implication or otherwise. This license is revocable at any time.

Repeat Infringer Policy

In accordance with the Digital Millennium Copyright Act ("DMCA") and other applicable law, Medical Departures has adopted a policy of terminating, in appropriate circumstances as determined by Medical Departures in its sole discretion, subscribers or account holders who are deemed to be repeat infringers. Medical Departures may also at its sole discretion limit access to the Site and/or terminate the accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

Copyright Complaints

If you believe that anything on the Site infringes upon any copyright which you own or control you may file a notification of such infringement with our Designated Agent as set forth below. You should note that if you knowingly misrepresent in your notification that the material or activity is infringing, you will be liable for any damages, including costs and attorneys' fees, incurred by us or the alleged infringer as the result of our relying upon such misrepresentation in removing or disabling access to the material or activity claimed to be infringing.
